Terms & Conditions

Version 2.0 · Last updated 14 October 2026 · Effective from the date of publication on aikaya.net

Part A applies to every user. Part B applies when you buy from a Creator. Part C applies when you sell on Aikaya.

PART A — GENERAL TERMS

1. Who we are; definitions

1.1 Aikaya (aikaya.net) is operated by Tenchi DWC-LLC, a limited liability company (DWC-LLC) registered in the Dubai South free zone, United Arab Emirates, under registration number 12600 and trade licence number 13642 issued by Dubai Aviation City Corporation, with its address at Business Centre, Floor 3, Building A3, Business Park, Dubai South, Dubai, United Arab Emirates ("Aikaya", "we", "us"). Contact: support@aikaya.net. Company details and our Digital Services Act contact points are in the Legal Notice at aikaya.net/legal.

1.2 In these Terms: "Platform" means the website, applications and services at aikaya.net; "User" means anyone with an account; "Creator" means a User who publishes Content and offers Products for sale; "Buyer" means a User who obtains a Product; "Content" means video, audio, text, images and other material uploaded by a Creator; "Product" means a class, course or membership offered by a Creator; "Plan" means a Creator subscription to the Platform; "Extra Traffic" means a one-off purchase of an amount of video delivery, measured in gigabytes (GB), used only to deliver a Creator's paid Content beyond her Plan's monthly allowance; it is not money, has no cash value, cannot be transferred and cannot be used for anything else; "Stripe" means the Stripe group company that provides payment services to Aikaya and to a Creator under that party's own agreement with Stripe; "Consumer" means a natural person acting for purposes outside their trade, business, craft or profession; "Business User" means a Creator acting for purposes relating to her trade, business, craft or profession; "Seller Policies" means a Creator's own Terms of Sale, Refund Policy and Privacy Notice, published on her storefront; "Membership" means a recurring subscription giving access to a Creator's library of recorded classes; it includes no live, one-to-one, chat, forum or community access.

2. The contract

2.1 The contract between you and Aikaya consists of these Terms, the Content & Acceptable Use Policy, the Refund & Cancellation Policy and, for Creators, the Data Processing Agreement. The Privacy Policy and Cookie Policy explain how we process personal data; they are not contract terms.

2.2 The contract is concluded when you create an account and accept these Terms. By using the Platform you agree to these Terms. We record the version accepted and the date and time. You can read and download these Terms at any time at aikaya.net/terms.

2.3 These Terms are available in English.

2.4 If a provision of Part B or Part C conflicts with Part A, the specific Part prevails. Mandatory law prevails over all of them.

3. Accounts

3.1 You must be at least 18 years old and have full legal capacity to open an account or use the Platform, because only adults can enter into these Terms and the purchases made under them.

3.2 You sign in with a one-time link sent to your e-mail address; there is no password. You are responsible for keeping access to your mailbox secure and must tell us without delay at security@aikaya.net if you believe your account has been used without your authorisation.

3.3 One account per person. You may not share your account or let others watch Products through it. A Creator on a Plan with team seats is responsible for the acts of the team members she invites.

3.4 The information you give us must be accurate and kept up to date.

4. Rules for everyone

4.1 You may use the Platform only lawfully and in line with these Terms.

4.2 You must not: (a) download, record, copy, rip or redistribute Content except where a feature expressly allows it; (b) circumvent access controls, signed playback links, rate limits or other technical protection; (c) scrape, crawl or harvest data from the Platform; (d) resell or sublicense access; (e) probe or test the security of the Platform without our prior written permission; (f) upload malware or interfere with the Platform's operation; (g) impersonate any person; (h) use the Platform for fraud or any other unlawful activity.

4.3 The Content & Acceptable Use Policy forms part of these Terms. It sets out what may be published, the claims Creators may not make, and how we enforce it.

5. Our role; notice and action

5.1 Intermediary. Aikaya provides hosting and technology. We do not create, commission, select, edit or endorse Creator Content, and Creators do not act under our authority or control. Each Creator is solely responsible for her Content and Products.

5.2 Order of listings; no personalisation. Storefronts on the browse page are listed by most recent activity. Classes on the classes page are listed newest first, or A to Z if you choose. Filters narrow the list by the disciplines and keywords Creators select; search matches words in class titles or Creator names and does not re-order results by relevance. No payment, Plan level or relationship with us affects any order, there are no paid or featured placements, and we do not personalise listings.

5.3 No general monitoring. We are not obliged to monitor Content. We do carry out voluntary checks: automated screening of titles, descriptions and machine transcripts against the Content & Acceptable Use Policy, followed by review by a person. We never take an enforcement decision by automated means alone.

5.4 Reporting content. Anyone, with or without an account, may report Content they consider illegal or in breach of our policies using the form at aikaya.net/report. A report should contain the exact URL, the reasons, the reporter's name and e-mail address (except for reports concerning child sexual abuse material), and a statement that it is made in good faith. We confirm receipt automatically and inform the reporter of our decision.

5.5 Measures. Where Content or conduct is illegal or breaches these Terms, we may: remove or unpublish Content; disable access to it; stop new sales; suspend or end payment-related features; suspend or close the account. We choose the least restrictive measure that is effective, act in a timely, diligent, non-arbitrary and objective manner, and give the affected User a statement of reasons explaining the decision, the facts relied on, whether automated means were used, the legal or contractual ground, and the available redress.

5.6 Review of our decisions. You may ask us to reconsider a decision within 30 days by replying to the statement of reasons. A person not involved in the original decision will review it where possible, and we will reply within 14 days. You may also go to court.

5.7 Where we become aware of information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of a person has taken place, is taking place or is likely to take place, we inform the competent authorities.

6. Intellectual property

6.1 The Platform, its software, design and the Aikaya name and logo belong to us or our licensors. Nothing in these Terms transfers them to you.

6.2 Creators keep ownership of their Content. The licences Creators grant to us and to Buyers are set out in Parts B and C.

6.3 If you send us suggestions about the Platform, we may use them without obligation to you.

7. Availability and changes to the service

7.1 We make reasonable efforts to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may suspend it briefly for maintenance and will announce planned maintenance where practicable.

7.2 We may develop, change or withdraw features. We will not remove a feature a Buyer has already paid for access to, except as allowed by these Terms or by law.

8. Changes to these Terms

8.1 We may change these Terms for valid reasons, such as changes in law, in our services or in our payment provider's requirements. We notify changes by e-mail and in the Platform.

8.2 For Business Users, a change takes effect no earlier than 15 days after notice, or longer where the change requires Creators to make significant technical or commercial adjustments. A Business User may terminate the contract before the change takes effect.

8.3 For Consumers, a change that is not purely beneficial takes effect only if you accept it at your next sign-in; if you do not accept it, you may close your account, and Part B §B7 continues to protect your existing purchases.

8.4 The notice periods in 8.2 do not apply where we must change the Terms to comply with a legal or regulatory obligation, or to address an unforeseen and imminent danger to users from fraud, malware, spam or similar risks.

9. Suspension and termination

9.1 You may close your account at any time from your account settings.

9.2 We may suspend or close an account for a material or repeated breach of these Terms, for non-payment or a serious risk of fraud, where required by law or by a competent authority, or where Stripe restricts or closes the Creator's Stripe account, or our payment provider otherwise withdraws service to it. We give a statement of reasons at the latest when the measure takes effect.

9.3 Where we terminate the whole service to a Business User for reasons other than those in 9.2, we give at least 30 days' notice.

9.4 On closure, Part B §B7 and Part C §C11 govern what happens to purchases and Content. Clauses that by their nature survive termination continue to apply.

10. Health and safety

10.1 Nature of the Content. Content on Aikaya covers breathing practice, movement, meditation, sleep routines, mindset and related subjects for general wellbeing and education. It is not medical, psychological, nutritional or other health-care advice, diagnosis or treatment, and it is not a substitute for care from a qualified professional. Creators do not provide health-care services through Aikaya, and we do not verify Creators' qualifications. Nothing on the Platform is financial, legal or professional advice.

10.2 Before you start. Consult a doctor or other qualified professional before starting any breathing, movement or meditation practice if you are pregnant or have recently given birth; have a heart condition, high or low blood pressure, epilepsy or another seizure disorder, glaucoma, a respiratory condition, or a mental-health condition; are recovering from surgery or injury; or take regular medication.

10.3 Specific risks. Some breathing techniques — in particular holding the breath and rapid or forceful breathing — can cause dizziness, fainting or loss of consciousness. Never practise them in or near water, while driving or operating machinery, or standing where a fall could cause injury. Practise seated or lying down. Movement practice can cause strain or injury; stay within your limits.

10.4 Stop if unwell. Stop immediately and seek medical help if you feel faint, have chest pain, severe shortness of breath or any other worrying symptom. In an emergency, contact your local emergency number (112 in the EU). If you are in emotional crisis, contact local emergency services or a crisis line rather than relying on any Content.

10.5 Medication and treatment. Never stop, reduce or change prescribed medication or treatment because of anything in Content. Content suggesting that you should is prohibited; please report it.

10.6 Your choices. You decide which Products suit you and how you take part. A Creator may add her own safety notice to her storefront and classes; read it before you practise.

10.7 This section 10 does not limit any liability that cannot be limited by law.

11. Liability

11.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, or any liability that cannot be excluded or limited under applicable law, including the mandatory rights of Consumers.

11.2 As a provider of hosting services, we are not liable for Content stored at a Creator's request where we have no actual knowledge of illegal Content or, on obtaining such knowledge, act expeditiously to remove or disable access to it.

11.3 Consumers. We are liable to you under the applicable statutory rules for breach of our own obligations under these Terms. We are not the seller of Creators' Products; your rights concerning a Product lie against the Creator, as seller and merchant of record, subject to §B7.

11.4 Business Users. Subject to 11.1, we are not liable for loss of profit, revenue, goodwill or data, or for indirect or consequential loss, and our total liability in any 12-month period is limited to the higher of the Plan fees paid by you in that period and USD 100.

11.5 Neither party is liable for failure to perform caused by events beyond its reasonable control, including failures of payment, hosting or network providers not caused by that party.

12. Complaints and disputes

12.1 You may send a complaint in writing to support@aikaya.net or to our postal address in 1.1. We confirm receipt without delay and reply in writing within 15 days of receipt.

12.2 Out-of-court resolution. Aikaya does not commit to take part in alternative dispute resolution. If your complaint is not resolved, our written reply will tell you whether we agree to take part in a particular out-of-court procedure you propose. Complaints about a Product, including refunds of it, are for the Creator who sold it (Part B §B1.3); we pass them on when you cannot reach her. You may also go to court under section 13.

12.3 Business Users. As a small enterprise, Aikaya is not required to operate the internal complaint-handling system or name mediators under Regulation (EU) 2019/1150; Business Users may nevertheless raise any complaint through 12.1, including about restrictions, technical issues and our compliance with that Regulation.

13. Governing law and courts

13.1 These Terms, and any non-contractual obligation arising out of or in connection with them, are governed by the laws of the Dubai International Financial Centre (DIFC).

13.2 Subject to 13.3, the courts of the Dubai International Financial Centre (DIFC Courts) have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and both parties submit to that jurisdiction.

13.3 If you are a Consumer, the choice of law in 13.1 does not deprive you of the protection of the mandatory rules of the country where you habitually reside, and you may bring proceedings in the courts of that country as well as in the DIFC Courts. We may bring proceedings against a Consumer only in the courts of the country where the Consumer is domiciled.

14. General

14.1 We may transfer the contract to a company in the same group or to a company that takes over the Platform; we will notify you in advance, and Consumers may close their account if they object. You may not transfer your rights without our consent.

14.2 If a provision is invalid, the rest remains in force, and the invalid provision is replaced by the valid one closest to its purpose.

14.3 We send notices to the e-mail address on your account. You send notices to support@aikaya.net or to our postal address in 1.1.

PART B — BUYING ON AIKAYA

B1. Who you buy from

B1.1 Every Product is sold by the Creator named on the product page, at checkout and on your receipt. Your contract for the Product is with that Creator, under her Seller Policies — her Terms of Sale, Refund Policy and Privacy Notice — which are linked on her storefront and at checkout. Aikaya is not the seller and is not a party to that contract, except for the promises Aikaya itself makes in this Part B.

B1.2 Each Creator declares to us whether she acts as a trader. Where the product page states that the Creator is not a trader, the consumer rights under EU consumer protection law do not apply to your contract with her.

B1.3 Who is responsible for what. The Creator is responsible for the Product, its description, its conformity, its price, any VAT or sales tax on it, and all refunds of it. Aikaya is responsible for your account, the operation of the Platform and playback, its hosting commitment to Creators described in B7, and complaints about the Platform. Aikaya does not refund Products.

B2. Prices and payment

B2.1 Creators set prices. The total price, including any VAT or sales tax, is shown before you pay.

B2.2 Payments are processed by Stripe on the Creator's own Stripe account. The Creator is the merchant of record; Aikaya does not receive or hold your payment. Your card statement shows the descriptor displayed at checkout.

B3. Your licence

B3.1 When you obtain a Product, the Creator grants you a personal, non-exclusive, non-transferable licence to stream it through your account for your own private, non-commercial use, for as long as you have access under B5 to B7.

B3.2 You may not download, record, copy, publicly show, share or resell a Product, or let anyone else use your account to watch it. Audio-only playback is the same licence in a different format.

B3.3 Captions, transcripts and translations may be generated automatically and may contain errors. The spoken Content prevails.

B4. Right of withdrawal

B4.1 If you are a Consumer, you normally have 14 days to withdraw from a distance contract without giving a reason.

B4.2 Immediate access. Products are supplied immediately. Before you pay, you are asked to (a) expressly request that supply begins before the 14-day withdrawal period ends, and (b) acknowledge that you lose your right of withdrawal once supply begins. The confirmation of the contract, sent to you by e-mail, records that request and acknowledgement. Once supply has begun, you cannot withdraw, but your rights under B6 remain. This applies to one-off purchases and to the first period of a membership.

B5. Memberships

B5.1 A membership gives access to the Creator's membership Content for the period you pay for and renews automatically for the same period until you cancel.

B5.2 You can cancel at any time online, from your account (Account → Memberships). Cancellation takes effect at the end of the current paid period; access continues until then. There is no refund for the unused part of a period, except under B6, under the Creator's own Refund Policy, or where the law requires one.

B5.3 Renewal reminders and price changes. You will receive renewal reminders where the law requires them, and for annual memberships at least 7 days before renewal. If a Creator changes the price of a membership, you are told at least 30 days before the new price applies and may cancel before it does.

B6. If a Product is faulty or not as described

B6.1 If you are a Consumer, the Creator must supply a Product that matches its description and works as described. If it does not, you are entitled to have it brought into conformity, to a proportionate price reduction, or to end the contract and get a refund, as provided by law.

B6.2 Contact the Creator through her storefront or the details on your receipt. If you cannot reach her, write to us under Part A §12 and we will pass your claim to her; the remedy itself is hers to give.

B7. How long your purchases stay available

B7.1 Aikaya has committed to every Creator (Part C §C11.1) to keep hosting each Product sold as a one-off purchase, and to keep it available to its Buyers, for at least 12 months from each purchase date, and for as long after that as it stays published, including if the Creator leaves Aikaya or her Plan ends. For memberships, access runs for each period you have paid for.

B7.2 That hosting commitment does not apply where: (a) you close your own account; (b) we close your account for a material breach of these Terms; (c) the Product, or part of it, is removed or disabled because it is illegal, infringes someone's rights, or breaches the Content & Acceptable Use Policy; (d) the payment for the Product is refunded or successfully charged back; or (e) while a chargeback on it is being reviewed.

B7.3 In the cases in B7.2, Aikaya does not refund the Product. Your statutory rights against the Creator are not affected, and any restore-or-refund commitment the Creator set for that Product and showed you before you paid (Part C §C3.5) also applies. On request, we tell you why the Content was removed and how to reach the Creator.

B8. Free content and marketing

B8.1 Free Products are licensed on the same terms as B3.

B8.2 Giving your e-mail address to receive a free Product does not sign you up for marketing. You receive a Creator's marketing only if you tick the separate consent box, and you can withdraw that consent at any time through the link in each message.

PART C — SELLING ON AIKAYA (CREATOR TERMS)

C1. Plans and fees

C1.1 Creators choose a Plan as described on the pricing page (currently Free, Starter, Pro and Studio). Features, allowances and the lifetime sales limit of the Free Plan are those shown on the pricing page on the date of purchase or renewal.

C1.2 Aikaya takes no commission on your sales. You pay Plan fees and, where you buy it, Extra Traffic. Payment-processing fees on your sales are charged to you directly by Stripe under your agreement with Stripe.

C1.3 Plans and Extra Traffic are sold by Aikaya, and payment is processed by Stripe. Plan fees are payable in advance, monthly or annually, plus any VAT or sales tax that applies, and renew automatically until cancelled. Upgrades take effect immediately, with the unused part of the current period credited. Downgrades take effect at the end of the current period.

C1.4 We give at least 30 days' notice of a Plan price increase, effective from your next renewal after that period. You may cancel before it applies.

C2. Extra Traffic and fair use

C2.1 Extra Traffic is a one-off purchase of an amount of video delivery, measured in gigabytes (GB), used only to deliver your paid Content beyond your Plan's monthly allowance. It is not money, has no cash value, cannot be transferred and cannot be used for anything else. It does not expire while your account is open. Refunds are governed by the Refund & Cancellation Policy.

C2.2 If your delivery persistently exceeds your Plan's allowance in a way your Plan was not designed for, we may ask you to move to a suitable Plan or buy Extra Traffic. We will not restrict delivery to your existing Buyers without at least 30 days' notice.

C2.3 Unused gigabytes when the contract ends. When you buy Extra Traffic, you declare whether you buy it as a Business User or as a Consumer. As a Business User you have no right of withdrawal, and unused gigabytes are not refunded in any case, including where we close your account for breach or end the service for any other reason. As a Consumer you keep your statutory withdrawal right, and unused gigabytes are refunded where we close your account for breach (less any amount you owe us) or end the service for any other reason. In every case, if you close your own account, your remaining gigabytes keep paying for delivery to your existing Buyers under C11.1, and whatever is left afterwards lapses. Any refund is paid only on your request. The details are in the Refund & Cancellation Policy §2.3.

C3. Payments through Stripe

C3.1 Your Stripe account. To sell, you must open and keep a Stripe account connected to Aikaya through the onboarding Aikaya provides. You are Stripe's customer under the Stripe Connected Account Agreement (stripe.com/legal/connect-account) and the Stripe Services Agreement (stripe.com/legal/ssa), and you must comply with them, including Stripe's list of restricted and prohibited businesses (stripe.com/legal/restricted-businesses). Stripe carries out its own identity checks and monitoring, and may refuse, restrict or close your Stripe account. You enter your identity and payout bank details directly with Stripe; Aikaya does not see your identity documents or store your bank details.

C3.2 Every sale is made by you, on your Stripe account, as merchant of record. Funds settle directly to your Stripe balance and are paid out to you by Stripe under your agreement with Stripe; Aikaya never receives or holds them and is not responsible for Stripe's payouts, fees or reserves.

C3.3 You bear Stripe's fees, refunds, chargebacks, dispute fees and any negative balance on your Stripe account.

C3.4 Refunds and your Seller Policies. You alone decide and issue refunds for your sales, from your Stripe account, and you must honour Buyers' statutory rights, including for lack of conformity. This applies equally where we remove or disable your Content under Part A §5: Aikaya does not refund your Buyers on your behalf. Stripe may refund or reverse payments on your account under its own terms; Aikaya does not control that. Your storefront carries your own Terms of Sale, Refund Policy and Privacy Notice, which Aikaya generates from your details and publishes; you may set a refund window for your Products, which is then shown to Buyers before they pay and which you must honour. You must keep your legal name, address and contact details accurate. Refunding a well-founded claim promptly protects your Stripe account from disputes.

C3.5 Loss of access. If Aikaya disables access to your Content under Part A §5, so that Buyers can no longer watch what they paid for, you must honour those Buyers' statutory rights against you, including the remedies the law gives for digital content that is not supplied or does not conform. You may also set your own restore-or-refund commitment for a Product in its product settings. If you do, it is shown to Buyers before they pay, forms part of your terms of sale, and you must keep it. Where you fail to meet a legal obligation to a Buyer, we may act under Part A §5 and §9.

C3.6 You must not ask Buyers to pay outside the Platform for a Product sold on it.

C3.7 Stripe and us. We may give Stripe information about your account, your Content, reports we receive about it and measures we take, and we may act on Stripe's requests concerning your Products. If Stripe restricts or closes your Stripe account, you cannot sell on Aikaya until it is restored. Stripe's decisions about your Stripe account are Stripe's; we are not liable for them.

C4. Taxes and trader status

C4.1 You are responsible for all taxes on your sales, including any VAT or sales-tax registration, collection, invoicing and filing. Stripe's tax tools on your account are yours to configure. You remain responsible for your own income tax. Aikaya does not give tax advice.

C4.2 When you onboard, you must declare whether you sell as a trader. If you do, you must give us the identity and geographical address details that consumer law requires us to display, keep them accurate, and comply with consumer protection law towards your Buyers.

C4.3 Selling Products to the public through the Platform, in an organised or regular way or for profit, is generally an activity for business purposes. The consumer rights that apply to your own purchases from Aikaya (including the statutory right of withdrawal from a Plan or Extra Traffic) apply only where you genuinely act outside your trade, business, craft or profession. Where you have made paid sales, we may assess your status from your sales activity before we process a withdrawal.

C5. Your Content: warranties

C5.1 For every piece of Content you publish, you warrant that: (a) you own it or hold all rights needed, including rights in music, images and text; (b) everyone identifiable in it has consented; (c) it and its descriptions comply with the law and with the Content & Acceptable Use Policy; (d) it does not diagnose, treat or claim to cure any condition, and you do not offer health-care services through Aikaya; (e) it is pre-recorded and involves no live or one-to-one service; (f) its title and description accurately describe what the Buyer receives; and (g) you are the author of the Product, or hold the rights to sell it as your own, and you do not resell courses, videos or "private label rights" material made by others.

C5.2 Before each publication you confirm C5.1 in a dated attestation, which we keep.

C5.3 You may publish your own health and safety notice for your Content, and you are responsible for its accuracy and adequacy. Part A §10 applies in addition.

C6. The licence you give Aikaya

C6.1 You grant Aikaya a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transcode, create audio-only versions of, transcribe, caption and machine-translate, technically screen, display and stream your Content, and to show your name, storefront, thumbnails and titles on the Platform, in each case only to operate the Platform and deliver your Products.

C6.2 The licence ends when you remove the Content, except that it continues (a) for as long as needed to keep the hosting commitment in C11.1 to the Buyers who obtained it, and (b) for back-up copies deleted in the normal cycle and copies we must keep by law.

C7. Review and enforcement

C7.1 We may check Content by automated screening and human review, and may act under Part A §5. Our first measure will usually be to unpublish a listing, which stops new sales and keeps existing Buyers' access, while you correct it.

C7.2 We give you a statement of reasons at the latest when a restriction takes effect, and you may ask for review under Part A §5.6.

C8. Ranking, differentiated treatment and your other channels

C8.1 Ranking. The main parameters are those in Part A §5.2: storefronts by most recent activity; classes by publication date (newest first) or title (A to Z) at the viewer's choice; filters by the disciplines and keywords you select; search by title or Creator name without relevance ordering. They carry equal weight for every Creator because they are the only parameters. No payment or Plan affects position, and there are no featured placements.

C8.2 Aikaya does not sell Products of its own and does not treat any Creator differently in ranking or visibility.

C8.3 You are free to sell your Content elsewhere, at any price and on any terms.

C9. Data access

C9.1 What you can access: the Buyer details recorded on your own Stripe account for each sale; your audience list of people who gave you their e-mail address, with their marketing-consent status; your sales records; and aggregated, non-identifying viewing statistics for your Content. You cannot see individual viewers' watch history.

C9.2 What Aikaya accesses: the data you and your Buyers provide and data generated by use of the Platform, as described in the Privacy Policy. We use it to operate, secure and improve the Platform and to meet legal obligations. We do not sell it and do not share it with other Creators.

C9.3 After your contract ends, you may export your audience list and sales records for 30 days, subject to the Data Processing Agreement.

C9.4 The Data Processing Agreement forms part of this Part C and governs personal data we process on your behalf. You are an independent controller of personal data you receive and use for your own purposes.

C10. Indemnity

C10.1 If you are a Business User, you will compensate Aikaya for reasonable losses and costs, including reasonable legal fees, arising from third-party claims caused by your Content, your Products, your breach of these Terms or your failure to meet your tax obligations. We will notify you promptly of any such claim and let you take part in its defence.

C11. Leaving, wind-down and dormant content

C11.1 Hosting commitment. For every Product you sell as a one-off purchase, Aikaya will keep hosting it, and keep it available to the Buyers who bought it, for at least 12 months from each purchase date and for as long after that as it stays published. This applies whatever your Plan status, and even if you close your account or stop selling, except in the cases in Part B §B7.2. If you close your account or stop selling, your storefront becomes inactive and no new sales are made. Your Content remains hosted until the last such period ends, after which we may delete it.

C11.2 Abandoned content. An unpublished draft untouched for 60 days is flagged and deleted if still untouched at 90 days. A Creator on the Free Plan who has not signed in for 6 months and has never made a sale is warned twice before her library is deleted at 12 months. While you are on Aikaya, we never delete Content someone has paid for, and paid-Plan Creators are exempt from the dormancy stages while subscribed.

C11.3 Memberships when you leave. If you close your account, stop selling, or we close your account, or if your Plan moves to one that cannot sell memberships, we cancel all your memberships with effect from the end of each Buyer's current paid period, so no Buyer is charged again. Buyers keep access until that period ends.

C11.4 Termination under Part A §9 does not affect your liability for refunds and chargebacks on sales already made.
